Terms & Conditions – GolfJoy Europe B.V.
These Terms & Conditions apply to all offers, quotations, orders, and agreements made with GolfJoy Europe B.V. ("the Supplier") unless expressly agreed otherwise in writing. By using this website, placing an order, or engaging any services provided by GolfJoy Europe B.V., the Client acknowledges that they have read, understood, and accepted these Terms & Conditions.
1. Definitions
- "Supplier": GolfJoy Europe B.V.
- "Client": Any individual or entity purchasing goods or services from the Supplier.
- "Agreement": Any contract between the Supplier and the Client, including these Terms & Conditions.
2. Applicability
2.1 These Terms & Conditions apply to all products, services, quotations, and agreements provided by the Supplier.
2.2 Any deviation from these Terms & Conditions is only valid if confirmed in writing by the Supplier.
2.3 The applicability of any terms from the Client is explicitly rejected.
3. Prices and Payment
3.1 All prices are stated in the currency displayed on the website at the time of ordering, inclusive or exclusive of VAT as stated.
3.2 Payment must be made in full at the time of ordering unless otherwise agreed in writing.
3.3 In the event of late payment (if applicable), the Supplier reserves the right to suspend the Agreement and charge statutory interest and reasonable collection costs.
4. Delivery and Shipping
4.1 Delivery times stated on the website or in the order confirmation are estimates and not guaranteed, unless explicitly stated otherwise.
4.2 The Supplier's Shipping Policy forms an integral part of these Terms & Conditions.
4.3 Risk of loss passes to the Client once the goods have been handed over to the carrier.
5. Returns and Refunds
5.1 Returns and refunds are governed by the Supplier's Refund Policy.
5.2 The Client is responsible for following the return instructions as described in that policy.
5.3 The Supplier reserves the right to refuse returned goods that do not comply with the Supplier's return conditions.
6. Cancellation by the Client
6.1 The Client may cancel the Agreement by submitting written notice to the Supplier.
6.2 In the event of cancellation, the Supplier is entitled to charge a cancellation fee equal to 25% of the total contract value to cover administrative costs, planning, and reserved capacity.
6.3 Any costs already incurred or work already performed at the time of cancellation may be charged in addition to the cancellation fee.
7. Cancellation or Modification by the Supplier
7.1 The Supplier may cancel or modify the Agreement if circumstances arise that prevent proper performance, including force majeure or supply chain disruptions.
7.2 In such circumstances, the Supplier will inform the Client as soon as reasonably possible and refund any payments for goods or services not yet provided.
8. Liability
8.1 The Supplier's liability is limited to the maximum amount paid by the Client under the Agreement.
8.2 The Supplier is not liable for indirect or consequential damages, including but not limited to loss of profits, business interruption, or loss of data.
8.3 Nothing in these Terms & Conditions limits liability in cases where limitation is not permitted by law.
9. Intellectual Property
9.1 All intellectual property rights relating to materials, designs, content, or products supplied by the Supplier remain the exclusive property of GolfJoy Europe B.V.
9.2 The Client may not reproduce, distribute, modify, or exploit such materials without prior written consent.
10. Privacy and Data Protection
10.1 The Supplier processes personal data in accordance with its Privacy Policy and applicable data protection legislation.
10.2 By placing an order, the Client consents to such processing.
11. Governing Law and Jurisdiction
11.1 These Terms & Conditions are governed by the laws of the Netherlands.
11.2 Any dispute arising from or relating to the Agreement shall be submitted to the competent court in the Netherlands, unless mandatory law dictates otherwise.
12. Amendments
12.1 The Supplier reserves the right to amend or update these Terms & Conditions at any time.
12.2 Amendments apply only to Agreements made after the updated Terms & Conditions have been published on the website, unless agreed otherwise in writing.
